Terms of Service

Last updated: September 3, 2026 (draft)

1. Who we are and what these terms cover

Keelbook ([address placeholder]) provides software for marine service businesses — scheduling, estimates, invoicing, payments, and compliance tools — and a free vessel maintenance record for boat owners. These terms are a contract between you and Keelbook and apply whenever you use our website, app, or services. If you use Keelbook on behalf of a business, you're agreeing for that business and confirming you have the authority to do so.

2. Your account

You must provide accurate information when you sign up and keep your login credentials secure. You're responsible for everything that happens under your account. Tell us right away at support@keelbook.com if you think your account has been compromised. You must be at least 18 years old and able to form a binding contract to use Keelbook.

3. Subscriptions, trials, and billing

Paid plans are billed monthly or annually through Stripe, our payment processor. Every plan starts with a 30-day free trial and no card is required to start. We'll never charge you without you first entering a payment method and choosing a plan. Subscriptions renew automatically until you cancel, which you can do anytime from your settings — cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law or where we say otherwise in writing. We may change prices with at least 30 days' notice; changes apply at your next renewal.

4. Payments you collect through Keelbook

If you use Keelbook to collect payments from your customers, those payments are processed by Stripe under Stripe's own terms, including the Stripe Connected Account Agreement. Keelbook is not a bank and does not hold your funds. You are responsible for the goods and services you sell, for your refund policy, and for any taxes owed on your sales.

5. Text messages

Keelbook sends text messages (via Twilio) on your behalf — for example, invoices, estimate approvals, and maintenance reminders. By using these features you confirm you have your customers' consent to receive those messages, and you agree to honor opt-out requests. Message and data rates may apply to recipients. Recipients can reply STOP to opt out at any time.

6. The owner record — free forever

Vessel maintenance records created in Keelbook are available to the boat's owner free of charge. Owners can view their record without a paid account, export it (PDF and CSV) at any time, and keep it when the boat sells. We will not charge owners for access to their own vessel's record or its export. This commitment survives cancellation of any pro's subscription.

7. Your content and data

You own the content you put into Keelbook — job details, photos, customer information, invoices. You give us a limited license to host, display, and process that content in order to run the service, including making service history visible to the vessel's owner and to other service businesses the owner authorizes. You're responsible for having the right to upload what you upload. See our Privacy Policy for how we handle personal information.

8. Acceptable use

Don't use Keelbook to break the law, send spam, harass anyone, upload malicious code, scrape or resell the service, interfere with other users, or attempt to access data that isn't yours. Don't falsify service records — the value of a vessel's record depends on it being accurate. We may suspend or terminate accounts that violate these rules.

9. Termination

You can stop using Keelbook and cancel your subscription at any time. We can suspend or terminate your access if you violate these terms, don't pay, or if we reasonably believe your use creates risk for us or others. If your account is closed, boat owners keep free access to their vessel records, and you can export your business data for 90 days after closure.

10. Disclaimers

Keelbook is provided "as is." We work hard to keep it reliable, but we don't promise the service will be uninterrupted or error-free. Keelbook is a record-keeping and business tool: we don't perform marine services, we don't verify the quality of work recorded in the system, and a vessel record is not a survey, warranty, or guarantee of a boat's condition.

11. Limitation of liability

To the fullest extent permitted by law, Keelbook will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose (or $100 if you haven't paid us anything).

12. Changes to these terms

We may update these terms from time to time. If a change is material, we'll notify you by email or in the app at least 30 days before it takes effect. Continuing to use Keelbook after a change takes effect means you accept the new terms.

13. Governing law and disputes

These terms are governed by the laws of the State of Washington, USA, without regard to conflict of law rules. Before filing any claim, you agree to contact us at support@keelbook.com and give us 30 days to try to resolve it informally.
